BUSINESS CONDITIONS
Business conditions for "Filia Denmark a/s".
VAT registration number: DK 3232 9705.
1. General
These sales and delivery conditions apply to all offers, sales and
deliveries, unless otherwise agreed in writing between the parties.
Filia Denmark a/s reserves the right to till the delivery day to
regulate prices proportionately, provided that there is increase in
freight and insurance charges, customs, product charges, foreign
exchange rates or other factors which, Filia Denmark a/s has no
see. the section on force majeure.
2. Prices
All prices are in Danish kroner and incl. 25% VAT.
3. Payment
Payment for private customers will be done by ordering.
For further debate Filia Denmark a/s payment conditions as is

the right to charge 100,-DKK for each reminder, as well as to
calculate 2% in interest per commenced month from the due date

The buyer is not entitled to deduct any counterclaim on Filia
Denmark a/s, which is not in writing acknowledged by Filia Denmark
a/s and has no right to withhold any part of the price due to

purchaser's conditions of any kind, the buyer shall be obliged to
pay to Filia Denmark a/s, as if delivery had been made to the
agreed time. Filia Denmark a/s may, by written communication depart
from this.
Credit rating of sole traders, partnerships, start-up companies
and the like. May involve the transmission of documentation of
results, capital base, solidity, etc.
Private customers, corporate customers with negative credit
assessment and customers who repeatedly fails to meet Filia Denmark
a/s ' payment terms may act only by credit card, against payment in
advance/bank guarantee, per c.o.d. or cash payment in connection
with the item collection.
4. Reservation of title
Filia Denmark a/s reserves the ownership of the delivered goods
until the entire purchase price incl. delivery expenses and
interest and concern. recovery costs are paid in full.
5. Delivery
Filia Denmark a/s can not be held responsible for delays of
shipments but will always seek timely delivery.
Where otherwise agreed, delivery shall be deemed to be sold
ex-storage water. "EXW/Incoterms 2011". The risk is transferred to
the buyer at the time of delivery. Is shipping with foreign
carrier, delivery, however, by the submission of such carrier, or
by surrender to the shipping agent, regardless of whether this
simply arranging transportation or even responsible for this.

6. Product information

7. Product changes
Filia Denmark a/s reserves the right without notice to change
products or parts thereof, unless this is done without
inconvenience to the buyer.
8. Limitation of liability
A damages claim against Filia Denmark a/s can not exceed the
invoice value of the sold object. Filia Denmark a/s has in no case
the liability for loss of business profits, loss of profit or other
indirect or secondary damage.
Unless otherwise specifically agreed, Filia Denmark a/s is not
responsible for damage to immovable or movable property, including
products manufactured by the buyer. Filia Denmark a/s is only
liable for personal injury, when it is proved that the damage
resulted from the fault or negligence committed by Filia Denmark
a/s or any, Filia Denmark a/s is responsible for.
9. Product liability
If not mentioned in the Danish mandatory rules on liability,
the following restrictions apply: Filia Denmark a/s is only liable
for damage caused by one of Filia Denmark a/s delivered the item to
the extent that it can be proved that the damage resulted from the
company's fault or negligence to the extent, Filia Denmark a/s may
incur liability to third parties, the purchaser is obliged to keep
Filia Denmark a/s harmless to the same extent that Filia Denmark
a/s liability is limited in accordance with the point above.
10. Complaint
The buyer has the obligation to immediately know shipment receipt
to verify this, including examining whether the delivery quality
and quantity of the agreed. Find buy that this is not the case, the
responsibility of the buyer not later than 3 days after receipt in
writing to inform Filia Denmark a/s. If the delivery does not
quality-or volume corresponding to the agreed, Filia Denmark a/s is
entitled to on-and/or after delivery.
Find buyer that there is damage to the goods themselves, or a
discrepancy between the cargo of the letter specified quantity and
the physical quantity received, shall be the responsibility of the

If the buyer will invoke a defect, the buyer shall immediately
give Filia Denmark a/s in writing and indicate which lack consists.
If the buyer discovered or ought to have discovered the lack and

Changes or interventions in the purchased without Filia Denmark
A/S's written consent shall exempt Filia Denmark a/s for any
obligation. If Filia Denmark a/s requests, purchase immediately
after making a complaint, the purchaser's risk and expense return
the allegedly defective product to Filia Denmark a/s in original
packaging. Filia Denmark a/s reserves the right at any time, only
to receive the allegedly defective part.
Filia Denmark a/s reserves the right to test the goods alleged to
be defective. If Filia Denmark a/s does not find errors in the item
after the test, it must materially affect the item sent return with
Bill for work performed.
11. The return
The possible return of goods is due to Danish law possible
within 14 days, and only if they are unused and
incidentally appears as being new. All returns are for the
purchaser's risk. Returned item without agreement with Filia
Denmark a/s, there will be returning to the buyer on the buyer's
expense.
12. Transport of rights and obligations
Filia Denmark a/s is entitled to transfer all rights and
obligations to third parties.
13. Disputes
Any dispute between Filia Denmark a/s and buyer shall be governed
by Danish law in Denmark.
14. Force Majeure
Should delivery be prevented for reasons of force majeure, it
shall relieve the Filia Denmark a/s for all liability, and Filia
Denmark a/s reserves the right to fully or partially cancel the
agreement, or postpone the delivery with the of the obstacle caused
the delay beyond the prescribed time limit for delivery. Under
force majeure falls among others. labour conflicts, war or military
call, blockade, closures, political disturbances, statsindgriben of
any nature, lack of driving force means or circumstances, moreover,
which lies outside the Filia Denmark A/S's control, and which
affects the Filia Denmark A/S's ability to meet its delivery
obligations.
